"Service" refers to the Ciaro Pro platform operated by TaleTech Studios AG, including all tools for script writing, storyboarding, AI image generation, AI video generation, AI audio and sound generation, and any related production features.

"AI-Generated Content" refers to any images, video, audio, sound effects, music, or other media produced by third-party artificial intelligence models integrated into or accessible through the Service.

"Third-Party AI Models" refers to external artificial intelligence providers whose models are used by the Service to generate content, including but not limited to video generation, image generation, lip sync, and audio generation models.

"Subscription" refers to the paid plan offered by TaleTech Studios AG for accessing premium features of the Service.

Conditions of Use

By using this website, you certify that you have read and reviewed this Agreement and that you agree to comply with its terms. If you do not want to be bound by the terms of this Agreement, you are advised to stop using the website accordingly. TaleTech Studios AG only grants use and access to this website, its products, and its services to those who have accepted its terms.

Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or in any way that disrupts or interferes with the Service's functionality. Prohibited activities include, but are not limited to:

• Engaging in illegal activities or promoting unlawful behavior.
• Distributing spam, unsolicited communications, or advertisements.
• Attempting to gain unauthorized access to the Service or its systems.
• Uploading or transmitting content that infringes upon third-party rights, including copyrighted scripts, screenplays, music, or other protected creative works.
• Disrupting the integrity or performance of the Service.
• Generating video, image, or audio content depicting real, identifiable individuals without their explicit consent, including deepfakes, synthetic voice cloning of real persons, or any content that violates rights of publicity or personality.
• Generating content that reproduces, imitates, or is substantially similar to copyrighted films, television programmes, music recordings, or other protected audiovisual works.
• Using AI-generated video or audio outputs to impersonate, defame, harass, or mislead any person or entity.
• Generating content that depicts minors in any sexual, violent, or exploitative context.
• Commercialising AI-generated content in a manner that violates applicable copyright, right of publicity, or consumer protection laws without conducting your own legal assessment.

TaleTech Studios AG reserves the right to suspend or terminate accounts that engage in prohibited activities and to report violations to relevant authorities where required by law.

Privacy Policy

Script & Creative Content

Your Original Scripts and Screenplays: Any scripts, screenplays, story outlines, or other original written content you create and upload to the Service remain your intellectual property. TaleTech Studios AG makes no claim of ownership over your original written creative works.

Third-Party Scripts and Source Material: If you upload, adapt, or base your production on scripts, screenplays, or other written works owned by third parties, you are solely responsible for obtaining all necessary rights, licences, and clearances before using such material on the Service. TaleTech Studios AG bears no liability for your use of third-party source material.

Storyboards and Visual Outputs: Storyboard images and visual frames generated through the Service are produced using Third-Party AI Models. The copyright status of such outputs is subject to applicable law in your jurisdiction and may not qualify for full copyright protection. See the AI-Generated Content section below for further detail.

Collaborative Projects: If you share access to a project with other users, you represent that you have the right to do so and that all collaborators are bound by this Agreement. TaleTech Studios AG is not responsible for disputes arising between collaborators regarding ownership or use of jointly created content.

Intellectual Property

You acknowledge that all materials, products, and services provided on this website, excluding content generated by users, are the property of TaleTech Studios AG, its affiliates, directors, officers, employees, agents, suppliers, or licensors. This includes all copyrights, trade secrets, trademarks, patents, and other intellectual property rights.

Any third-party intellectual property displayed on the Service is used under appropriate licenses, and you must comply with any terms associated with such third-party content.

User-Generated Content

Original User Content: Original creative content you author and upload to the Service — including original scripts, screenplays, and other written works — remains your intellectual property. TaleTech Studios AG asserts no copyright or ownership over such original authored materials.

AI-Generated Outputs: Content produced by Third-Party AI Models through the Service — including AI-generated images, video, audio, and lip sync outputs — may not qualify for copyright protection under applicable law, as current legal frameworks in many jurisdictions (including the United States and European Union) require human authorship for copyright to subsist. TaleTech Studios AG makes no representation or warranty that any AI-generated output is protected by copyright. You acknowledge this uncertainty and agree that you are solely responsible for independently verifying the legal status of any AI-generated content before publishing, distributing, licensing, or monetising it.

User Responsibility: It is the user's sole responsibility to ensure that their use, publication, distribution, and monetisation of any Content — whether original or AI-generated — does not infringe upon the rights of third parties, including but not limited to copyright, neighbouring rights, trademark, right of publicity, and moral rights.

Users agree not to upload or distribute Content that is unlawful, defamatory, obscene, or otherwise objectionable. TaleTech Studios AG reserves the right to remove any Content that violates these terms.

AI-Generated Content

Third-Party AI Models: The Service integrates Third-Party AI Models to enable AI image generation, AI video generation, AI audio generation, lip sync, and related features. TaleTech Studios AG does not own or operate these models and is not responsible for the data used to train them. Each Third-Party AI Model provider operates under its own terms of service, acceptable use policies, and content guidelines, which may apply to your use of outputs generated through their models.

Copyright Status of AI Outputs: AI-generated images, video, and audio produced through the Service may not be protected by copyright under the laws of your jurisdiction. Current legal frameworks in the United States, European Union, and many other countries require a human author for copyright to subsist, and courts and regulatory authorities have generally held that AI-generated outputs without sufficient human creative contribution do not qualify for copyright protection. TaleTech Studios AG makes no warranty, representation, or guarantee that any AI-generated output is copyrightable or that you will hold exclusive rights to any such output.

Training Data and Third-Party Claims: Third-Party AI Models may have been trained on datasets that include copyrighted material. TaleTech Studios AG does not control the training practices of Third-Party AI Model providers and shall not be liable for any claims arising from the alleged similarity of AI-generated outputs to third-party copyrighted works. You agree to indemnify TaleTech Studios AG against any such claims arising from your use or distribution of AI-generated outputs.

Video Generation: AI-generated video produced through the Service is generated by Third-Party AI Models. Quality, accuracy, and content of generated video may vary. You are solely responsible for reviewing all generated video before publication or distribution and for ensuring compliance with applicable laws, including laws relating to defamation, right of publicity, advertising standards, and content classification.

Audio, Music, and Sound Generation: AI-generated audio, music, sound effects, and voice content produced through the Service is generated by Third-Party AI Models. You are solely responsible for ensuring that your use of AI-generated audio does not infringe upon third-party music rights, neighbouring rights, performer rights, or voice likeness rights. You must not use AI-generated voice content to clone, imitate, or impersonate the voice of any real person without their explicit consent.

Lip Sync: The lip sync feature uses AI to synchronise mouth movements in video with audio inputs. You represent and warrant that you have the right to use all audio inputs applied to lip sync features and that the resulting output does not constitute an unauthorised deepfake or synthetic media depiction of any real person.

EU AI Act Compliance: Where required by applicable law, including the EU AI Act, AI-generated video and audio content may be subject to mandatory disclosure and labelling obligations. You are responsible for complying with all applicable transparency and labelling requirements when publishing or distributing AI-generated content produced through the Service.

No Commercial Guarantee: TaleTech Studios AG does not guarantee that AI-generated content produced through the Service is suitable or cleared for any commercial purpose. You are solely responsible for conducting any legal, rights clearance, or compliance review required before commercialising AI-generated content.

Use of Uploaded Materials

In order to provide and improve our service, TaleTech Studios AG performs semantic and statistical analysis on uploaded materials. This analysis is conducted anonymously and is necessary for the generation of storyboards and other service functionalities. It is explicitly understood that TaleTech Studios AG holds no claim over the uploaded materials for any purpose beyond this specific service provision.

All original materials uploaded by users are used solely for the purpose of providing the requested service. These materials are automatically deleted from our systems immediately after the analysis process has been completed, ensuring no further use or storage by TaleTech Studios AG.

License to TaleTech Studios AG

By using our service and uploading content, you grant TaleTech Studios AG a royalty-free, non-exclusive, temporary license to display, use, copy, transmit, and broadcast the content solely for the purposes of performing the necessary analysis to provide and improve the service. This license is limited to the duration of the analysis process and does not extend beyond the completion of the service provided.

For issues regarding intellectual property claims, or if further clarification on the use of uploaded materials is required, users are encouraged to contact TaleTech Studios AG directly to come to an agreement or resolve any concerns.

Payment Terms

Subscription Plans: We offer various subscription plans with different features and pricing. Details of each plan are available on our pricing page.

Billing Cycle: Subscriptions are billed on a recurring basis according to the chosen plan (monthly, annually, etc.). Billing cycles will commence upon successful subscription and payment.

Payment Methods: We accept payments via major credit cards, PayPal, and other supported payment gateways. By providing a payment method, you authorize us to charge the applicable subscription fees.

Automatic Renewals: Unless canceled prior to the end of the current billing period, subscriptions will automatically renew, and you will be charged the applicable fees.

Refund Policy: We strive to ensure your satisfaction with our Service. If you encounter any issues or have a valid reason for requesting a refund, please contact our support team at support@Ciaro Pro.ai, and we will review your request on a case-by-case basis.

User Accounts

As a user of this website, you may be asked to register with us and provide private information. You are responsible for ensuring the accuracy of this information, and you are responsible for maintaining the safety and security of your identifying information. You are also responsible for all activities that occur under your account or password.

If you think there are any possible issues regarding the security of your account on the website, inform us immediately so we may address them accordingly.

We reserve all rights to terminate accounts, edit or remove content, and cancel orders at our sole discretion.

Multiple Accounts: Each physical device may only have one active account associated with it. Creating or maintaining multiple accounts per device requires explicit written permission from TaleTech Studios AG. Violation of this policy may result in termination of all associated accounts.

Termination

User Termination: Users may terminate their subscription at any time through their account settings. Upon termination, access to the Service will continue until the end of the current billing cycle, after which all subscription benefits will cease.

Termination by TaleTech Studios AG: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of the Terms.

Effect of Termination: Upon termination, all rights granted to you under this Agreement will cease, and you must promptly discontinue all use of the Service. All provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Data Upon Termination: All user data will be deleted from our systems within 30 days of termination, unless otherwise required by law.

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. TaleTech Studios AG disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

TaleTech Studios AG does not warrant that the Service will be uninterrupted, secure, or free from errors, viruses, or other harmful components.

AI Output Disclaimers: TaleTech Studios AG makes no representation or warranty regarding the accuracy, quality, consistency, originality, or fitness for purpose of any AI-generated content produced through the Service, including but not limited to AI-generated images, video, audio, music, sound effects, and lip sync outputs. AI outputs may be unpredictable, may contain errors or unintended content, and may vary between generations even with identical inputs.

Copyright and Legal Status: TaleTech Studios AG makes no warranty or representation that any AI-generated content is protected by copyright, is free from third-party IP claims, or is cleared for any particular commercial or non-commercial use. You rely on AI-generated outputs entirely at your own risk.

Third-Party Model Availability: The availability and performance of Third-Party AI Models integrated into the Service is outside TaleTech Studios AG's control. TaleTech Studios AG is not liable for any interruption, degradation, or discontinuation of Third-Party AI Model features.

Applicable Law

By using this website, you agree that the laws of Switzerland, without regard to principles of conflict of laws, will govern these terms and conditions, or any dispute of any sort that might come between TaleTech Studios AG and you, or its business partners and associates.

Disputes

Any dispute related in any way to your use of this website or to products you purchase from us shall be resolved through binding arbitration conducted by the state or federal court of Zürich, Switzerland. You consent to the exclusive jurisdiction and venue of such courts.

If you are a resident of a country outside Switzerland, please be aware that resolving disputes in Zürich courts may not be practical. In such cases, we recommend seeking legal counsel to understand your rights and obligations.

Indemnification

You agree to indemnify, defend, and hold harmless TaleTech Studios AG, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the Service.
• Your violation of any term of this Agreement.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any claim that your Content caused damage to a third party.

TaleTech Studios AG reserves the right to select its own legal counsel in any matter involving indemnification.

Limitation on Liability

To the maximum extent permitted by applicable law, TaleTech Studios AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall TaleTech Studios AG's total liability to you for all damages, losses, and causes of action exceed the amount you have paid us for the Service in the six months preceding the claim.

Force Majeure

TaleTech Studios AG shall not be liable for any failure or delay in performing its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or governmental actions.

Entire Agreement

This Agreement constitutes the entire agreement between you and TaleTech Studios AG regarding the use of the Service and supersedes all prior agreements, understandings, and representations regarding the same.

Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.

No Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and TaleTech Studios AG's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

Feedback and Suggestions

Any feedback, comments, or suggestions you provide regarding the Service is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

By submitting feedback, you agree that you are granting TaleTech Studios AG a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, modify, publish, translate, distribute, and display such feedback for any purpose.

Changes to the Agreement

TaleTech Studios AG reserves the right to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Users will be notified of significant changes via email or through a prominent notice on the Service. It is your responsibility to review the Agreement periodically for any changes.
